1. Acceptance of Terms

By registering for an account or using the plan.parts API platform, you agree to be bound by these Terms of Service ("Terms"). If you do not agree with any part of these Terms, you must not use the service. These Terms constitute a binding agreement between you and SoftLine Limited.

2. Service Description

plan.parts acts as a relay service: we provide programmatic access to automotive parts databases operated and maintained by third-party data providers via a unified REST API. We do not own, produce, or license the underlying data — we transmit it on behalf of the original data sources. Access is granted on a token-based, pay-per-request model. We do not offer subscriptions; all billing is transactional. The service is operated by SoftLine Limited, Suites 1203-1205, Cyber Hub, 88 Innovation Drive, Wanchai, Hong Kong.

3. Account Registration

You must provide accurate, complete, and current information when registering. You are solely responsible for maintaining the confidentiality of your API keys and account credentials. You must notify us immediately at [email protected] of any unauthorised use of your account. We are not liable for any loss resulting from unauthorised use of your credentials.

You agree that you will NOT:

• Resell or sublicense raw API data to third parties without prior written permission from SoftLine Limited
• Attempt to reverse-engineer, scrape, or circumvent rate limits or other technical restrictions
• Use the service for any illegal, fraudulent, or harmful purpose
• Share or distribute API keys with unauthorised third parties
• Attempt to interfere with or disrupt the integrity or performance of the service

6. Intellectual Property

All database content transmitted through the plan.parts API is the intellectual property of the respective third-party data providers and their original sources. SoftLine Limited makes no claim of ownership over any transmitted data. SoftLine Limited grants you a limited, non-exclusive, non-transferable, revocable licence to use query results solely for your own internal business purposes. No ownership rights in the underlying data are transferred to you.

If you are the author or rights holder of data transmitted through this service and have not authorised its distribution, please notify us at [email protected]. We will review the claim and take appropriate action.

7. Service Availability

We target 99.5% monthly uptime but provide no contractual guarantee. Planned maintenance will be announced in advance. We are not liable for any losses arising from service downtime, interruptions, or degraded performance.

8. Disclaimer of Warranties

The service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied. We do not warrant that the data returned by the API is complete, accurate, current, or error-free. You use the API data entirely at your own risk.

9. Limitation of Liability

To the maximum extent permitted by applicable law, SoftLine Limited and its officers, directors, and employees shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities. Our maximum aggregate liability to you arising out of or related to these Terms shall be limited to the total amount paid by you to us in the three (3) months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless SoftLine Limited and its affiliates from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the service in violation of these Terms or any applicable law.

11. Termination

We reserve the right to suspend or terminate your account and access to the service at any time, with or without notice, if we determine in our sole discretion that you have violated these Terms or that continuation of the service creates legal or business risk.

12. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region. Any dispute arising from or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of Hong Kong SAR.

13. Changes to These Terms

We may update these Terms from time to time. We will provide at least 30 days notice of material changes via email or prominent site notice. Your continued use of the service after the notice period constitutes acceptance of the updated Terms.
